(b) The stockholders:

• elected each of the nine director nominees to hold office until the 2017 annual meeting of stockholders, or until his or her successor has been elected and qualified;

• ratified the appointment of PricewaterhouseCoopers LLP as independent registered public accounting firm for the 2016 fiscal year; and

• adopted a non-binding resolution approving executive compensation.
