Explanation of Responses:

1. Represents units withheld in respect of taxes on the settlement of restricted stock units.

2. Resolute Forest Products Inc. (the "Company") awarded to the reporting person 9,844 restricted stock units, each an "RSU". Each RSU represents the right to receive the economic equivalent of one share of Company common stock in cash upon settlement. In general, the RSUs will vest and settle in cash in four equal annual installments beginning on December 1, 2018 (subject to earlier settlement in certain circumstances). An additional 1,298.3 RSUs were added in connection with the Company's payment of a special cash dividend on December 20, 2018. The reporting person settled 2,893.77 RSUs, which vested on December 1, 2020 for cash.
