Explanation of Responses:

1. Reflects transfer of shares to Mr. Havner's trust.

2. Includes 53,750 restricted stock units and 1,583 deferred stock units. Mr. Havner postponed receipt of 10,000 vested restricted stock units granted February 19, 2015 with an original vesting date of April 1, 2016 in accordance with the following schedule: 10 equal installments over 10 years starting April 1, 2021 to April 1, 2030. 9,000 remain subject to deferred receipt.

3. Includes 53,750 restricted stock units and 1,583 deferred stock units. Mr. Havner postponed receipt of 10,000 vested restricted stock units granted February 19, 2015 with an original vesting date of April 1, 2016 in accordance with the following schedule: 10 equal installments over 10 years starting April 1, 2021 to April 1, 2030. On April 1, 2022, Mr. Havner received the second installment of such vested restricted stock units and 8,000 remain subject to deferred receipt.
