Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 3, 2011, Ironwood Gold Corp. (the “Company”) issued to Behzad Shayanfar, the Company’s current Chief Executive Officer, Interim Chief Financial Officer and a member of the Company’s Board of Directors, 25,000,000 shares of the Company’s common stock, par value $0.001 as consideration for services provided to the Company.
