Explanation of Responses:

1. Disposition of shares exempt under Rule 16b-3 as payment of tax liability to Company incident to vesting of restricted stock shares award.

2. Includes the following: (1) 60,069 unvested restricted share units, which will vest in two equal annual installments beginning on June 26, 2017; (2) 77,479 unvested restricted share units, which will vest in three equal annual installments beginning on June 10, 2017; and (3) 96,856 unvested restricted share units, which will vest in four equal annual installments beginning on June 14, 2017.

3. Each unvested restricted share unit represents a contingent right to receive one unrestricted, fully transferable share for each vested restricted share unit which has not previously forfeited.

Remarks:

The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan.
