Explanation of Responses:

1. Includes disposition of shares exempt under Rule 16b-3 as payment of tax liability to Company incident to vesting of restricted stock shares award.

2. Includes the following: (1) 30,035 unvested restricted share units, which will vest on June 26, 2018; (2) 51,653 unvested restricted share units, which will vest in two equal annual installments beginning on June 10, 2018; (3) 72,642 unvested restricted share units, which will vest in three equal annual installments beginning on June 14, 2018; and (4) 84,149 unvested restricted share units, which will vest in four equal annual installments beginning on June 29, 2018.

3. Each unvested restricted share unit represents a contingent right to receive one unrestricted, fully transferable share for each vested restricted share unit which has not previously forfeited.
