Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 8, 2019, Rebecca C. Polak, Chief Legal Officer and Secretary of KAR Auction Services, Inc. (the “Company”) and President of TradeRev, notified the Company that she is resigning from her positions at the Company and its subsidiaries. The resignation from the Company will be effective October 8, 2019. Pursuant to the terms of her employment agreement with the Company, Ms. Polak is entitled to the severance benefits described in section 5 of her employment agreement.
The Company and Ms. Polak intend to enter into a consulting agreement pursuant to which Ms. Polak will provide consulting services to the Company from October 8, 2019 through December 31, 2019 and receive a fee of $500,000 in connection with such services.
