2. 8,228 of these shares were issued on June 4, 2020 to the reporting person as director fees pursuant to the KAR Auction Services, Inc. 2009 Omnibus Stock and Incentive Plan. The 8,228 shares vest on June 4, 2021 and are subject to forfeiture until vested. All other shares are vested.
