On November 2, 2009, Iveda Corporation filed a Form 8-K reporting a change in the registered independent public accounting firm for the Company, which took effect on October 27, 2009. The Company provided Manning Elliott LLP (the Company's former auditor) with a copy of the Form 8-K prior to its filing with the Securities and Exchange Commission and requested that ME furnish a letter addressed to the Securities and Exchange Commission stating whether ME agreed with the statements made therein. A copy of the letter dated November 2, 2009 is attached as Exhibit 16.1 to this Form 8-K Amendment No. 1, as permitted by Item 304(a)(3) of Regulation S-K.
