REX ENERGY CORPORATION ANNOUNCES CLOSING
OF PUBLIC OFFERING OF COMMON STOCK
STATE COLLEGE, PA. – (BUSINESS WIRE)—May 6, 2008—Rex Energy Corporation (NASDAQ: REXX) (the “Company”) announced today that it closed the public offering of an aggregate 9.775 million shares of common stock.
The Company offered 4.5 million shares and certain selling stockholders offered 4.0 million shares at $20.75 per share. Additionally, the underwriters exercised in full an over-allotment option to purchase an additional 1.275 million shares.
The net proceeds to the Company from the underwritten public offering, after underwriting discounts and offering expenses, were approximately $112 million. The Company intends to use its net proceeds from this offering to fund, in part, its capital expenditure program for 2008, including its enhanced oil recovery project in the Lawrence Field in Lawrence County, Illinois and its leasing and drilling activities in the Marcellus Shale, and for other corporate purposes. Pending those uses, the Company intends to use a portion of its net proceeds to repay borrowings under its senior credit facility and invest in short-term, investment grade, interest-bearing securities.
KeyBanc Capital Markets Inc. acted as sole book-running manager for the offering and RBC Capital Markets Corporation served as co-lead manager for the offering. Tudor, Pickering, Holt & Co. Securities, Inc., Johnson Rice & Company L.L.C., Broadpoint Capital, Inc., and Capital One Southcoast, Incorporated acted as co-managers for the offering.
