Explanation of Responses:

1. The reporting person had an award of restricted stock cliff vest in accordance with the provisions of a grant made on March 15, 2016. In connection with the vesting the reported shares of stock were sold to cover tax withholding obligations.

2. The reporting person had an award of performance based restricted stock vest in accordance with the provisions of a grant made on December 15, 2013. In connection with the vesting the reported shares of stock were sold to cover tax withholding obligations.

3. The number of securities beneficially owned has been reduced by 7,838 performance based shares that have been forfeited due to the issuer not meeting the performance criteria for these shares to vest.
