Explanation of Responses:

1. The reporting person had an award of restricted stock vest in accordance with the provisions of grants made on January 5, 2015, October 1, 2015, and October 1, 2016. In connection with the vesting the reported shares of stock were sold to cover tax withholding obligations.

2. Beneficial ownership reflects a 10 for 1 reverse stock split that was effective May 15, 2017.
