Item 7.01 Regulation FD Disclosure
On December 7, 2007, Rex Energy Corporation (the “Company”) issued a press release announcing the Company’s acquisition of a fifty percent interest in leases covering 16,000 gross (8,000 net) acres in southwestern Pennsylvania, which the Company believes is prospective for the Marcellus Shale unconventional gas play. The Company also announced its initial 2008 capital budget plan, reaffirmed previous production guidance for year-end 2007 and the first quarter of 2008, and provided production guidance for the year ending December 31, 2008. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
