Explanation of Responses:

1. The option exercise and sale reported on this Form 4 were effected pursuant to Rule 10b5-1 Trading Plan adopted by the reporting person on September 11, 2020.

2. This transaction was executed in multiple trades at price ranging from $47.56 to $48.75. The price reported above reflects the weighted average sale price. The Reporting Person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.

3. The sale reported on this Form 4 were effected pursuant to Rule 10b5-1 Trading Plan adopted by the reporting person on September 11, 2020.

4. Represents shares that have been sold by the Issuer to satisfy income tax withholding and remittance obligations in connection with the vesting and net settlement of restricted stock units previously reported.

5. One forty-eighth of the shares subject to the option shall vest on September 1, 2017 and each month thereafter, subject to the Reporting Person continuing as a service provider through each such date.
