Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) Amendment of the Bylaws.
On July 20, 2011, the Board of Directors of National American University Holdings, Inc. (the “Company”) amended sections 1. and 4. of Article VIII of the Company’s bylaws to provide for certificated and uncertificated shares of the Company’s stock. The description of the amendment to the bylaws included herein is intended to be a summary only and are qualified in its entirety by the provisions of the amendments to the Company’s bylaws attached hereto as Exhibit 3.2.
