Item 7.01 Regulation FD Disclosure.
On May 10, 2013, National American University Holdings, Inc. (the “Company”) repurchased 550,000 shares of its common stock at $3.15 per share in a privately negotiated transaction. The Company has retired the entire 550,000 purchased shares as treasury stock. As a result of the repurchase and retirement of the shares, 25,045,464 shares of the Company’s common stock are outstanding.
