1. The reported securities of the Company are held by Sylios Corp, for which Jimmy Wayne Anderson is the President and has sole authority to dispose of the shares of common stock.

2. Each share of the Company's Series L Preferred stock can be converted into shares of the Company's Class A Common stock based on the following formula: $5,000 divided by .70 times the lowest closing price of the Company's Class A Common Stock for the immediate five-day period prior to the receipt of the Notice of Conversion.
