1. Each restricted stock unit ("RSU") converts into Common Stock of Warren Resources, Inc. (the "Issuer") on a one-to-one basis

2. On June 10, 2014, the Issuer issued RSUs to the reporting person. The RSUs granted on June 10, 2014 vest 1/3 on each anniversary of the issue date. The first 1/3 of the award vested on June 10, 2015.
