Explanation of Responses:

1. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on December 16, 2020. Shares were sold by the Reporting Person to generate proceeds used to satisfy the tax withholding obligation that arose upon the vesting of restricted stock units granted to the Reporting Person.

2. Shares were sold in multiple transactions at prices ranging from $12.80 to $13.10, inclusive. The price reported in Column 4 is a weighted average sale price.
