Item 1.02. Termination of a Material Definitive Agreement.
On July 30, 2019, in connection with the closing of an underwritten public offering of common stock by Clear Channel Outdoor Holdings, Inc. ("CCOH"), Clear Channel Outdoor, LLC and Clear Channel International, Ltd., subsidiaries of CCOH, delivered a notice of termination of the revolving loan agreement, dated as of May 1, 2019 (the "iHeartCommunications Line of Credit"), which was entered into in connection with iHeartMedia, Inc.'s (the "Company") emergence from bankruptcy and the separation of CCOH from the Company. The iHeartCommunications Line of Credit provided for a line of credit in an aggregate amount not to exceed $200 million to the two subsidiaries of CCOH. At the time of the termination of the iHeartCommunications Line of Credit, no borrowings were outstanding thereunder.
Item 7.01 Regulation FD Disclosure.
In connection with a private offering of $500,000,000 aggregate principal amount of Senior Secured Notes due 2027 (the "Offering") exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"), iHeartCommunications, Inc., a wholly-owned indirect subsidiary of the Company ("iHeartCommunications"), distributed a confidential preliminary offering memorandum dated August 1, 2019 (the "Offering Memorandum"). The Company is furnishing the attached Exhibit 99.1 with certain information excerpted from the Offering Memorandum.
In accordance with General Instruction B.2 of Form 8-K, the information under this Item 7.01, including Exhibit 99.1 shall not be deemed "filed" for the purposes of Section 18 of the Exchange Act or otherwise subject to the liabilities of that section, nor shall such information, including Exhibit 99.1, be deemed incorporated by reference in any filing under the Securities Act or the Securities Exchange Act of 1934, as amended, except as shall be expressly set forth by specific reference in such filing.
Item 8.01 Other Events.
On August 1, 2019, the Company issued a press release announcing that iHeartCommunications commenced the Offering. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.2 and is incorporated by reference herein.
This Current Report on Form 8-K shall not constitute an offer to sell nor the solicitation of an offer to buy the Senior Secured Notes or any other securities.
