Explanation of Responses:

1. The options were granted by the Issuer as an inducement material to the Reporting Person entering into employment with the Issuer pursuant to the Issuer's Stock Option Plan.

2. The options will vest over four years, as follows: 1/12 will vest on September 30, 2022 with the remaining 11/12 vesting in 11 equal quarterly installments at the end of each quarter thereafter, subject to the Reporting Person's continued service to the Issuer through each vesting date.
