Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(b) On August 18, 2010, First Financial Northwest, Inc. (“Company”) announced that David G. Kroeger, Senior Vice President and Merchant Building Manager of First Savings Bank Northwest (“Bank”), intends to retire on August 31, 2010. Mr. Kroeger has held his current position at the Bank since January 1, 2008.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) On August 18, 2010, the Company and the Bank amended their respective Bylaws to decrease the number of directors from nine to eight. A copy of the Company’s Amended and Restated Bylaws are attached hereto as Exhibit 3.2.
