Explanation of Responses:

1. The sales reported by Mr. Malloy were effected pursuant to a Rule 10b5-1 trading plan adopted on June 7, 2019.

2. The "Amount" and "Price" reported in this Column 4 reflect the aggregate number and weighted-average price, respectively, of shares sold. These shares were sold in multiple transactions at prices ranging from $30.65 to $31.56, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the SEC staff, upon request, full information regarding the number of shares sold at each separate price within the range set forth herein.

3. The "Amount" and "Price" reported in this Column 4 reflect the aggregate number and weighted-average price, respectively, of shares sold. These shares were sold in multiple transactions at prices ranging from $30.68 to $31.59, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the SEC staff, upon request, full information regarding the number of shares sold at each separate price within the range set forth herein.

4. 100% of the shares subject to the Option vest on the one year anniversary of January 1, 2018. The vesting of shares subject to the Option will accelerate in full upon a "change in control" as defined in the 2013 Equity Incentive Plan.

5. 50% of the shares subject to the Option vest on the one year anniversary of September 12, 2016 (the "Vesting Commencement Date") and thereafter the remaining 50% of the total shares vest in twelve equal monthly installments on each monthly anniversary of the Vesting Commencement Date, subject to continued service as a director through each vesting date.
