| 1. Disposed of pursuant to merger between issuer and Home Bancorp, Inc. Pursuant to the merger agreement, each share of Louisiana Bancorp, Inc. common stock was converted into cash in the amount of $24.25. |
| 2. The shares are held in a rabbi trust and are deemed to be phantom stock with the economic equivalent of one share of stock. Each share of phantom stock is payable in one share of common stock at the election of the reporting person upon the reporting person's termination of service as a director. The reporting person disclaims beneficial ownership of these securities and this report shall not be deemed an admission that the reporting person is the beneficial owner of these securities for the purposes of Section 16 or for any other purpose. |
