Item 8.01 Other Events
On February 17, 2010, Ultimate Escapes, Inc. (the “Company”) announced that due to difficult market conditions, it had postponed its contemplated secondary public offering of shares of its common stock. As a result of the postponement of the offering and the Company’s non-compliance with NYSE Amex original listing standards, the Company’s shares were suspended from the NYSE Amex effective at the open of the market on February 18, 2010.
Following the suspension, the Company’s common stock and warrants began trading on the OTC bulletin board, with the ticker symbols ULEI and ULEI-W, respectively.
