It has been just over three weeks since we announced our milestone agreement to combine Zimmer and Biomet.
With the initial announcement behind us, our focus over the coming months is to begin planning for the successful integration of both entities after the transaction closes. We anticipate that the transaction will close in the first quarter of 2015 and we are excited to bring these two great companies together to create a leading innovator in the musculoskeletal industry. We have taken two important steps in our planning process by:
| • | | Forming an Integration Steering Committee to oversee the execution of our integration planning strategy; and |
| • | | Identifying a multi-phase planning process to facilitate a smooth and seamless integration after the close of the transaction. |
Integration Steering Committee
One of our primary initiatives in the days following the transaction announcement has been to form an Integration Steering Committee (ISC) with senior representation from both Zimmer and Biomet to oversee the planning process and to spearhead key decisions as we move forward.
The ISC will set the overall vision of our integration planning process and will seek to identify, understand and bring the strengths of each company to the combined entity. The ISC will draw heavily upon the talent, capabilities, technologies and cultures of both entities to form a new entity that leverages the best aspects of both companies. In the near-term, the ISC will also establish and appoint an Integration Management Office and other integration working teams (by region, business unit and function) that will be responsible for providing support throughout the planning process and helping to shape the planning and execution of our combination. Stay tuned for further updates as the Integration Management Office and integration working teams are formed.
We are pleased to announce that the ISC will be comprised of the following eight members, four from Zimmer and four from Biomet:

Multi-Phase Integration Planning
Although the exact process and timing for integrating the two organizations will depend on the timing of regulatory clearances, we are planning for a multi-step integration process, which we view in the following four phases:

These phases run sequentially but may also overlap as activities are advanced or extended. The ISC will establish a Vision and Direction for both the integration process and the combined company. We will then move into the following phases:
| • | | Phase 1: Focusing on creating a robust plan, guidelines and a checklist of activities that each of these planning teams need to accomplish. |
| • | | Phase 2: Outlining the organizational structure of the combined company and completing financial work to ensure we are ready to begin implementation following the closing of the transaction. |
| • | | Phase 3: Implementing the integration plan following the necessary regulatory clearances and completion of the combination, which we expect to occur in the first quarter of 2015. While this phase begins at the closing of the transaction, we anticipate it will be an ongoing effort for a period of time post-close. |
Guiding Principles and Goals
Both companies have deep experience in business integrations and we will utilize best practices to drive a seamless integration effort. Throughout each phase of the integration planning process, an important objective is to protect our ongoing businesses’ momentum by continuing to focus on our respective Customers and their patients. While using this integration planning process to create a shared vision of our culture, strategy and operating model, we should keep in mind that we are independent companies until the transaction closes and we must compete as vigorously as we did before the announcement of the merger. It is our mission to create a combined company that will support healthcare professionals and their patients with a broader range of personalized solutions, superior technology and new innovations that enhance clinical outcomes and improve quality of life. By involving leaders from both organizations, we believe we will be a better partner to healthcare professionals and their patients upon the closing of the transaction. We also believe that as a stronger, more diversified company, there will be enhanced opportunities for employees of both companies.

1. | How will our sales representatives be integrated? |
While the announcement of the combination was an important milestone, there are many decisions left to be made. Specifics as to how the sales reps will be integrated have yet to be determined. In the coming weeks, we will be forming teams to assist with the planning of our integration. As part of the integration planning process, we will be identifying the best practices from both organizations in order to form a new entity that leverages the strengths of both companies. We will continue to communicate developments regarding the integration planning as we move through the process.
It is important to remember that this transaction is in large part about growth, and it is our intention that all sales representative positions from both companies will be retained post-closing. In fact, we believe this combination will lead to greater opportunities for the advancement and growth of sales representatives of the combined company.
2. | How will this combination help Zimmer gain more momentum in spine? |
Enhancing the market competitiveness of some of the smaller businesses of each company was one of the reasons behind this combination. The addition of the Biomet Spine business will provide Zimmer an increased opportunity to reinvest in product development, offer additional medical education and training, and enhance our global distribution channel. In addition, we will be better positioned to recruit and retain sales talent with an expanded product portfolio.
3. | Have we received any feedback from our Customers regarding the combination of the two companies? |
Yes. We have heard from many of our Customers around the world, as well as other stakeholders in the community, and the feedback and tone has overall been positive. Many Customers have expressed their excitement regarding how the combined company will have a greater opportunity to innovate, not just at the product and technology level, but through services and comprehensive solutions offered by virtue of the increased resources and talent of the combined company.
4. | How do you see the culture fit between Biomet and Zimmer? |
There are many aspects of our cultures that make for a very good fit. As part of the integration planning process, we will be identifying the best organizational and cultural practices from both organizations in order to form a new entity that leverages the strengths of both companies. We must challenge ourselves to be methodical in our evaluation in order to shape the optimal culture. This process will require much focus and effort, but it is critically important for our successful integration. The objective is to build an even stronger organization that offers more for employees, sales representatives and our Customers after the integration is completed. Employee involvement in this process will be vital to our success.
5. | When will integration teams be formed and begin work on the combination? |
In the coming weeks, we will be forming teams to assist with the planning of our integration. We expect that there will be an Integration Steering Committee, an Integration Management Office and a variety of functional, business unit, regional and other dedicated integration teams. Importantly, all integration oversight and planning teams will be composed of representatives from both Zimmer and Biomet. As part of the integration planning process, we will be identifying the best practices from both organizations in order to form a new entity that leverages the strengths of both companies. We will continue to communicate developments regarding the integration planning efforts as we move through the process.
6. | What can be done now to make sure that the integration of Biomet in 2015 doesn’t impact our Quality Excellence initiatives? |
Until the transaction is successfully completed (expected in the first quarter of 2015), we remain an independent company, and it will be business as usual at Zimmer. Successful execution is a top priority and this will not change as a result of the integration planning work. Remaining focused and concentrating on doing your best is how you can have a positive impact on the success of Zimmer.
