Item 2.02. Results of Operations and Financial Condition.
On May 5, 2021, Sculptor Capital Management, Inc. (the “Company”) reported its financial results for the quarter ended March 31, 2021. A copy of the Company’s earnings release is attached as Exhibit 99.1 and is incorporated herein by reference.
The Company is making references to non-GAAP financial information in the earnings release and will also make references to non-GAAP financial information on the conference call the Company is hosting on May 6, 2021, to discuss its financial results for the quarter ended March 31, 2021. Reconciliations of these non-GAAP financial measures to the most comparable GAAP financial measures are contained in the earnings release. These non-GAAP financial measures should be considered in addition to and not as a substitute for, or superior to, financial measures presented in accordance with GAAP.

Item 8.01. Other Events.
On May 5, 2021, the Company announced that its Board of Directors declared a dividend for the first quarter of 2021 of $0.30 per Class A Share. The dividend is payable on May 25, 2021, to holders of record as of the close of business on May 18, 2021.
