Explanation of Responses:

1. Shares withheld to pay taxes upon vesting of restricted stock units granted under the 2012 Long Term Incentive Plan of C. R. Bard, Inc. (as Amended and Restated).

2. Shares withheld to pay taxes upon vesting of restricted stock units acquired through deferral of compensation under the Company's Management Stock Purchase Program.

3. Sales are pursuant to a previously disclosed 10b5-1 plan.

4. Represents the weighted average sales price for price increments ranging from $240.33 to $240.85. The Reporting Person undertakes to provide, upon request by the Securities and Exchange Commission staff, the Issuer or a security holder of the Issuer, full information regarding the number of shares sold at each separate price for all transactions reported on this Form 4.

Remarks:

The amounts in Column 5 (Amount of Securities Beneficially Owned Following Reported Transactions) includes a transaction reported on the Form 4 filed on February 14, 2017. The ending balance reflects the current amount of securities beneficially owned.
