Item 5.07 Submission of Matters to a Vote of Security Holders.
On May 12, 2015, Spindle, Inc.’s (the “Company”) annual meeting of stockholders was convened, but adjourned due to the lack of requisite quorum. This adjournment was approved by a vote of 18,876,791 shares of common stock, constituting approval by more than a majority of the shares of common stock represented in person or by proxy at the meeting and entitled to vote on the adjournment.
The annual meeting has been adjourned to May 21, 2015 at 10:00 A.M. Mountain Standard time to be held telephonically at 480-360-0027, to allow additional time for the stockholders as of the record date of April 7, 2015, to vote on the proposals set forth in the Company’s proxy statement filed with the Securities and Exchange Commission.
