Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
On January 19, 2016, Nuverra Environmental Solutions, Inc. (the “Company”) was notified by the New York Stock Exchange (the “NYSE”) that it was not in compliance with the continued listing standards set forth in Section 802.01B of the NYSE Listed Company Manual due to its failure to maintain an average global market capitalization of at least $15.0 million over a consecutive 30-day trading period. As such, the NYSE informed the Company that trading of the Company’s common stock would be suspended before the opening of trading on January 20, 2016 and that it has initiated delisting procedures with respect to the Company’s common stock.
The Company’s common stock will begin trading on the OTCQB U.S. Market (the “OTCQB”) January 20, 2016 under the ticker symbol “NESC”. The rights of the holders of the Company’s common stock remain unchanged, and the transition to the OTCQB does not affect the Company’s obligation to file periodic reports with the Securities and Exchange Commission under applicable federal securities laws.
