The Reporting Person's sale of shares was primarily completed in connection with his personal investment strategy and financial planning needs, including for tax planning, individual asset diversification, and estate planning purposes. Prior to and upon completion of this transaction, the Reporting Person's holdings of the Issuer's common stock represent less than one percent of the Issuer's outstanding capital stock.
