Explanation of Responses:

1. Represents the tax liability on March 7, 2018, satisfied by withholding 47,185 shares incident to the vesting of securities under a Restricted Stock Award Agreement dated March 7, 2017 between the Reporting Person and the Issuer.

2. Represents shares of restricted stock granted under the issuer's 2007 Stock Incentive Plan and exempt under Rule 16b-3(d). The 145,236 shares vest December 31, 2020, subject to the issuer's three-year total shareholder return performance. The awards were made subject to the Revised Form of TSR-Based Restricted Stock Award Agreement as previously filed by issuer with the Securities and Exchange Commission.
