1. Represents a portion of shares granted on March 2, 2016 which were subject to the issuer's three-year total shareholder return (TSR) performance. As of January 23, 2019, the Compensation Committee of the issuer ratified the issuer's performance against certain TSR metrics, and 30,978 shares were forfeited.

2. Represents the tax liability on January 23, 2019, satisfied by withholding 27,663 shares incident to the vesting of securities under a Restricted Stock Award Agreement dated March 2, 2016 between the Reporting Person and the Issuer.
