1. The stock option exercises reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on November 20, 2023.

2. The original Form 4, filed on December 6, 2024, is being amended by this Form 4 to correct an administrative error. The original Form 4 inadvertently reported that the Reporting Person directly owned 3,643,258 AMD shares. However, as reported in this amended Form 4, the Reporting Person directly owned 3,640,526 AMD Shares.

3. Includes 2,068 AMD shares held by the Reporting Person's spouse.

4. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on November 20, 2023.

5. Transaction executed in multiple trades at prices ranging from $141.28 to $142.27 per share, inclusive. The price reported in column 4 above reflects the weighted average sale price per share. The Reporting Person hereby undertakes to provide the SEC staff, the Issuer or a security holder of the Issuer, upon request, full information regarding the number of shares sold at each respective price within the range set forth in this footnote.

6. Transaction executed in multiple trades at prices ranging from $142.28 to $143.27 per share, inclusive. The price reported in column 4 above reflects the weighted average sale price per share.
