1. Represents the number of shares of restricted stock the reporting person has a present right to receive under the terms of the amendment to his employment agreement with the Company, and such shares are based on a value of $300,000 and the closing price of the Company's common stock on September 21, 2018 of $9.64 per share, (which was the date immediately preceding the anniversary of the amendment) and upon issuance under the Company's 2014 Omnibus Stock Ownership Plan to be fully vested.
