1. The Issuer issued to the Reporting Person BC Natural Resources LLC an additional 1,054,097 bonus shares in respect of cash advances totaling $1,300,000 US made pursuant to certain loan agreements

2. Deemed purchase price converted to USD based on the Bank of Canada's rate of exchange of $0.7599 USD for every $1.00 CAD as of December 17, 2019
