Explanation of Responses:

1. The Reporting Person is the Chief Operating Officer and a Board Member of City National Rochdale, LLC (the "Investment Adviser"), the investment adviser to the Issuer. The Reporting Person disclaims beneficial ownership of any shares deemed beneficially owned by the Investment Adviser except to the extent of his pecuniary interest therein, and the inclusion of such securities in any report filed by the Investment Adviser shall not be deemed an admission of beneficial ownership for purposes of Section 16 or for any other purpose.
