Medical Design Studios, Inc. (the “Company”) filed a Certificate of Amendment of its Certificate of Incorporation to effect a 1-for-3.5 reverse stock split of the Company’s outstanding shares of Common Stock. The reverse stock split became effective on March 30, 2009, and the Company’s ticker symbol was changed to “MEDD” on April 3, 2009. A copy of the Certificate of Amendment is attached hereto as Exhibit 3.1 and incorporated herein in its entirety by reference.
As a result of the reverse stock split, the Company has 7,142,946 outstanding shares of Common Stock.
