Explanation of Responses:

1. Represents shares of the Issuer's non-voting common stock. The non-voting shares will become regular voting common stock upon the consummation of the Issuer's initial public offering.

2. Includes 387,795 shares of common stock currently issued and outstanding, which are held by Mr. Kendall in constructive trust for his former spouse pursuant to a divorce settlement agreement reached in November 2016 and which will be transferred and come under the control of Mr. Kendall's former spouse shortly after the consummation of the Issuer's initial public offering.
