ITEM 5.01. CHANGES IN CONTROL OF REGISTRANT
On March 24, 2009, the majority shareholders of the Company entered into a stock purchase agreement whereby World Asset Management, Inc. and Alpha Eagle Development Ltd. acquired in a private transaction an aggregate of 18 million restricted common stock shares (following a twelve-for-one forward split effective March 24, 2009) of the Company. Following the transaction, World Asset Management, Inc. controls 44.8% of the Company’s outstanding capital stock and Alpha Eagle Development Ltd controls 22.4% of the Company’s outstanding capital stock.
