On April 27, 2012 the Company and Blackbaud, Inc. (“Blackbaud”) issued a joint press release announcing that the Antitrust Division of the United States Department of Justice and the Federal Trade Commission had granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), in connection with the merger of the Company and Blackbaud (the “Merger”) pursuant to that certain Agreement and Plan of Merger dated January 16, 2012. The Merger remains subject to the satisfaction of certain closing conditions.
A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
