Item 8.01 Other Events
On August 4, 2009, FirstEnergy Corp. (FirstEnergy) commenced a tender offer to purchase for cash up to $725,000,000 in aggregate principal amount of its outstanding 6.45% Notes, Series B, Due 2011 (Notes), on the terms and subject to the conditions set forth in the Offer to Purchase dated August 4, 2009 and the accompanying Letter of Transmittal.
FirstEnergy’s obligation to accept for purchase, and to pay any consideration and the accrued interest on the Notes validly tendered pursuant to the tender offer is conditioned upon satisfaction or waiver of certain conditions, including FirstEnergy Solutions Corp., a subsidiary of FirstEnergy, obtaining sufficient proceeds from an offering of debt securities, to enable FirstEnergy to consumate the tender offer. The tender offer is not conditioned upon any minimum principal amount of the Notes being tendered.
Morgan Stanley & Co. Incorporated, Credit Suisse Securities (USA) LLC and RBS Securities Inc. are acting as Dealer Managers for the tender offer.
The tender offer is being made solely by means of the Offer to Purchase and Letter of Transmittal. Under no circumstances shall this Current Report on Form 8-K constitute an offer to purchase or the solicitation of an offer to sell Notes or any other securities of FirstEnergy.
A copy of FirstEnergy’s press release announcing the commencement of the tender offer is attached hereto as Exhibit 99.1 to this report and is hereby incorporated by reference.
