On September 30, 2019, the Reporting Person tendered to the Issuer as consideration pursuant to that certain Agreement between the Issuer and the Reporting Person dated September 30, 2019 36,000 shares of the Series C Preferred Stock owned by the Reporting Person and as a result such shares are no longer outstanding. Each share of Series C Preferred Stock had a stated value of $100 and was convertible into 20,000 shares of the Issuer's Common Stock, subject to adjustments. The Series C Preferred Stock were not convertible until December 1, 2020. |
