Item 8.01 Other Events
On January 10, 2017, the Board of Directors of Graphic Packaging Holding Company approved a share repurchase program under which management may repurchase up to $250 million of shares from time to time through open market purchases, privately negotiated transactions and Rule 10b5-1 plans in accordance with applicable securities laws.
A press release announcing the share repurchase authorization is attached hereto as Exhibit 99.
