Item 8.01 Other Events.
On November 7, 2019, Kennedy-Wilson Holdings, Inc. (the “Company”) closed the previously announced private placement of 300,000 shares of its 5.75% Series A Cumulative Perpetual Convertible Preferred Stock, par value $0.0001 per share (the “Series A Preferred Stock”) pursuant to a Securities Purchase Agreement, dated October 17, 2019, between the Company and certain funds affiliated with, or managed by, Eldridge Industries LLC (the “Purchase Agreement”) for gross proceeds of $300,000,000 (the “Transaction”). The Series A Preferred Stock is convertible into the Company’s common stock, par value $0.0001 per share, with an initial conversion price of $25.00 per share, representing a premium of 15% to the daily volume weighted average price per share of the Company’s common stock over the 20 trading days ending, and including, October 16, 2019. The Series A Preferred Stock is callable by the Company on and after October 15, 2024.
Descriptions of the terms of the Series A Preferred Stock and the Transaction, and a copy of the Purchase Agreement and related form of Registration Rights Agreement, were included in the Current Report on Form 8-K filed by the Company on October 18, 2019, which is incorporated herein by reference.
