Explanation of Responses:

1. These are restricted share units awarded to the Reporting Person as partial compensation for serving on the Issuer's Board of Directors. Each restricted share unit represents a contingent right to receive one Ordinary Share of Issuer stock and will vest on January 1, 2024, provided the Reporting Person continues to serve through such date.

2. Shares are held by the David T. Mitchell Separate Property Trust, of which the Reporting Person is the sole trustee and current beneficiary.
