The Issuer's common shares (the "Common Shares") were granted to the Reporting Person pursuant to the Issuer's Share-Based Compensation Plan, as described in the Issuer's Form 10-K/A, filed with the Securities and Exchange Commission on April 26, 2024. The Common Shares were valued at a price of $1.31 per Common Share at the time of the grant.

2. Held through The Ruffini Family Revocable Trust of which Mr. Ruffini is the trustee.
