Explanation of Responses:

1. Consists entirely of restricted stock units (the "RSUs") which vest as follows: (i) 10% of the RSUs vested on January 24, 2023, (ii) 10% of the RSUs shall vest on January 24, 2024, (iii) 10% of the RSUs shall vest on January 24, 2025, (iv) 10% of the RSUs shall vest on January 24, 2026, (v) 25% of the RSUs shall vest on January 24, 2027, (vi) 10% of the RSUs shall vest on January 24, 2028, and (vii) 25% of the RSUs shall vest on January 24, 2029, subject to the Reporting Person's continuous service with the Issuer through each applicable vesting date. The settlement of any vested RSUs is delayed until January 24, 2024.
