On February 14, 2012, the Board appointed Mr. Ernie Easley as an independent director of the Company. Mr. Easley will also serve on the Board’s Compensation Committee. There is no arrangement or understanding between any person and Mr. Easley pursuant to which Mr. Easley was elected as a director. The Company issued a press release announcing Mr. Easley’s appointment on February 15, 2012. A copy of the press release is attached hereto as Exhibit 99.1.
