| Item 7.01. | Regulation FD Disclosure. |
On April 12, 2018, American Water issued an investor presentation related to (i) the entry by American Water Enterprises, LLC (“AWE”) into a Stock Purchase Agreement, dated April 11, 2018, to acquire all of the capital stock of Nicor Energy Services Company, doing business as Pivotal Home Solutions, from Southern Company Gas, a subsidiary of The Southern Company, and (ii) a strategic update. AWE is a wholly owned subsidiary of American Water.
On April 12, 2018, American Water is holding a conference call to discuss the matters described above. The conference call will be accessiblevia dial-in conference call and pursuant to prior notice announced by American Water’s press release issued on April 11, 2018. A copy of the investor presentation to be used in connection with the conference call is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
